Organizer Agreement

This Organizer Agreement is incorporated into and forms part of our Terms of Service and governs your access to and use of the Services as an Organizer, including the ability to create, advertise, promote, and sell tickets to Events through the Services (“Event Services”).
Capitalized terms not defined in this Organizer Agreement have the meanings given to them in the Terms of Service. This Organizer Agreement supplements and is incorporated into the Terms of Service. To the extent of any conflict between this Organizer Agreement and the Terms of Service or Privacy Policy, this Organizer Agreement will control with respect to the Event Services, and the Terms of Service will control in all other respects.
Acceptance
Your access to and use of the Event Services, including your ability to create Events on the Services, are conditioned on your acceptance of this Organizer Agreement. By clicking to accept or by accessing or using the Event Services, you agree to this Organizer Agreement on your own behalf and on behalf of any organization or entity you represent, and you represent that you have the authority to bind such entity. If you do not agree to this Organizer Agreement, you may not access or use the Event Services. By agreeing to this Organizer Agreement, you also agree to the Terms of Service and Privacy Policy, which are incorporated by reference.
Updates to this Organizer Agreement
We may update this Organizer Agreement from time to time by posting a revised version on the Services. We may also provide notice of material changes, such as by email or through the Services. You are responsible for reviewing this Organizer Agreement periodically. Your continued use of the Event Services after any update becomes effective constitutes your acceptance of the updated Organizer Agreement. If you do not agree to any update, you must stop using the Event Services. If you have any questions about this Organizer Agreement, please contact us at support@gaytherings.com.
Organizer Portal
You may access and use the Event Services only through the organizer.gatherings.com portal (“Organizer Portal”) and agree to comply with this Organizer Agreement for each use of the Event Services. Your Organizer Portal provides access to Event Services and related functionality, which we may modify or discontinue at any time. In using your Organizer Portal, you must provide accurate, current, and complete information, including your name, contact information, and any other information we may require, and you agree to keep such information updated. You are responsible for maintaining the confidentiality and security of your Organizer Portal and for all activities that occur under your account.
You acknowledge that information you provide may be used to create a public-facing profile (“Organizer Profile”) that may be visible to other Users. You are solely responsible for all content associated with your Organizer Profile. We may suspend or terminate your Organizer Portal, restrict your access to the Event Services, or withhold payments otherwise due to you if we determine that your account information is inaccurate, incomplete, or misleading, or if your use of the Event Services violates this Organizer Agreement, the Terms of Service, or applicable law.
Event Services
The Event Services allow you to create, publish, and manage Events on the Services, provided that all Events are organized and hosted by you. You may not publish or promote Events on behalf of third parties without our prior written consent. When creating an Event, you must provide information about the Event, such as its title, description, categories, dates, ticket quantities, pricing, and any related content (collectively, “Event Information”). You represent and warrant that all Event Information is accurate, complete, and not misleading, and that it complies with this Organizer Agreement, the Terms of Service, and the Event Guidelines. To the extent of any conflict between this Organizer Agreement and the Event Guidelines with respect to Event-related content, conduct, eligibility requirements, moderation, restrictions, or operational requirements, the Event Guidelines will control.
You are responsible for all Event Information and for ensuring that your Events comply with all applicable laws, rules, and regulations, including any requirements related to permits, licensing, and public safety. We may review, modify, remove, or refuse to publish any Event or Event Information at any time if we believe, in our discretion, that it is inaccurate, misleading, non-compliant, or otherwise objectionable.
Gaytherings may modify, update, suspend, or discontinue any aspect of the Event Services at any time, including available features and functionality, in order to maintain, improve, or comply with applicable law. You acknowledge that the availability and functionality of the Event Services may change over time, and you agree not to rely on the continued availability of any specific feature or functionality. Gaytherings is not responsible for any impact that changes to the Event Services may have on your Events, including ticket sales, Event visibility, or attendee engagement.
Ticket Scanning and Tap-to-Pay Payments
The Event Services may allow you to authorize Users to scan, validate, check in, or manage tickets for Events through the Services or related applications (“Gaytherings Organizer App”). To use ticket scanning functionality, each Ticket Scanner may be required to: (a) maintain an active User account on the Services; (b) download or access any applicable mobile application, web application, or scanning functionality made available by Gaytherings; and (c) authenticate using their account credentials, one-time passcode, or other authentication method required by Gaytherings.
You are solely responsible for managing and controlling which Users are authorized to act as Organizer app users for your Events and may grant, limit, or revoke such permissions at any time through the Event Services. When a User’s scanning and/or selling permissions are removed, that User will no longer be authorized to access these functionalities for your applicable Events.
You are solely responsible for ensuring that only trusted and appropriately authorized individuals are granted ticket scanning and/or selling as well as Event access-management permissions and for all actions, omissions, access, validations, admissions, denials, check-ins, scans, and other activities performed by Ticket Scanners acting on their behalf.
The Event Services may also allow authorized Organizer App users to accept in-person payments using tap-to-pay or similar contactless payment functionality on supported devices, including payments for tickets, admission, or other goods and services offered at your Events (such as merchandise, food and beverage, or other on-site sales). All such payments are processed through the Payment Processor and are subject to this Organizer Agreement, including the provisions governing Event Ticketing, Refunds, and Payment Disputes. You are solely responsible for all tap-to-pay transactions initiated by your authorized users, including ensuring that only trusted individuals are granted selling permissions, that devices used for tap-to-pay are secure and used in compliance with the Payment Processor's requirements, and for any errors, misuse, or unauthorized transactions by your authorized users. You are solely responsible for the goods and services sold at your Events, including their legality, quality, delivery, and any required licenses or permits (such as alcohol or food service permits).
Gaytherings does not supervise, monitor, verify, or control the actions of Organizer App users and is not responsible for any misuse of ticket scanning or tap-to-pay functionality, unauthorized admissions, denied entry, fraudulent scans, operational errors, attendee disputes, or other acts or omissions of any Ticket Scanner.
Membership and Invite-Only Events
The Event Services may allow you to create invite-only or restricted-access Events, including Events that use application-based access controls, membership programs, waitlists, invitation workflows, or similar gating features (collectively, “Membership Events”), including through widgets or embedded functionality made available by Gaytherings. Where enabled, Membership Events may allow you to:
collect and review applications or requests for access to Events;
approve, deny, or revoke access to Events or related communities;
issue invitation codes or direct invitations to Users; and
permit approved Users to purchase tickets through the Services or embedded functionality.
You are responsible for establishing eligibility criteria for Membership Events and for reviewing and making all decisions regarding applications, invitations, approvals, and denials. You must ensure that your use of Membership Events complies with all applicable laws, including, without limitation, laws relating to anti-discrimination, privacy, consumer protection, and accessibility, and that you have obtained all necessary rights, consents, and permissions to collect and use any information submitted by Users. You acknowledge that Membership Events may involve the collection and processing of Personal Information and agree to comply with all applicable data protection obligations, including any applicable data processing agreement required by Gaytherings.
Gaytherings may suspend, restrict, or remove access to Membership Events at any time if we determine, in our discretion, that their use may violate applicable law, this Organizer Agreement, the Terms of Service, the Event Guidelines, or otherwise create risk or liability.
Event Insurance
You are responsible for the operation of your Events, including ensuring the safety of Attendees and compliance with all applicable laws and regulations. You represent and warrant that you have obtained and will maintain any insurance coverage reasonably appropriate for your Events, including, where applicable, commercial general liability insurance. Gaytherings may require you to provide proof of insurance for certain Events, including Events that involve elevated risk, large attendance, or other factors determined by Gaytherings in its discretion. For certain Events, Gaytherings may require that it be named as an additional insured on your applicable insurance policies. You agree to comply with any such requirement as a condition of using the Event Services for those Events.
Organizer-Specific Terms
You may set the prices and terms and conditions applicable to your Events (“Organizer-Specific Terms”), including policies related to refunds, cancellations, and rescheduling. We may require you to provide certain information when creating an Event (“Required Terms”), including, without limitation, price, refund policies, and cancellation or rescheduling terms. Required Terms will be made available to Users, and you may not publish an Event without providing all Required Terms. We may modify, remove, or add Required Terms at any time.
You are responsible for your Organizer-Specific Terms and for ensuring that they comply with all applicable laws. As merchant of record, Gaytherings is a party to the ticket sale transaction with the Attendee. However, the Event itself, including admission, the Event experience, and delivery of the Event as advertised, is provided solely by you, and any agreement regarding the Event (including your Organizer-Specific Terms) is between you and the applicable Attendee. Gaytherings is not a party to your Organizer-Specific Terms and is not responsible for your performance of the Event. Organizer-Specific Terms must be accurate, complete, not misleading, and comply with this Organizer Agreement, the Terms of Service, and all applicable laws.
You may update your Organizer-Specific Terms from time to time; however, you may not make any changes that materially and adversely affect Attendees who have already purchased tickets without their consent, except where required by applicable law. Gaytherings may require you to modify your Organizer-Specific Terms or override them, as necessary, to comply with applicable law or protect Users. You are responsible for ensuring that your Organizer-Specific Terms comply with the laws of all jurisdictions in which your Event is offered or held. In the event of a conflict between your Organizer-Specific Terms and our Terms of Service (including any other agreements or policies incorporated by reference), the Terms of Service will control.
Event Ticketing and Payments
The Event Services allow you to sell tickets and receive payments for your Events (“Event Ticketing”). To use the Event Ticketing features, you must connect and maintain an active account with our third-party Payment Processor (currently Stripe, as may be updated by us from time to time). Your use of the Payment Processor is subject to its applicable terms, including the Stripe Connected Account Agreement (https://stripe.com/legal/connect-account), and any related policies. You acknowledge that Gaytherings is not a party to any agreement between you and the Payment Processor and is not responsible for any acts or omissions of the Payment Processor, including any delays, holds, errors, or account actions.
During the event creation process you decide who pays the Service Fees and Payment Processor Fees as well as any other applicable fees at the time of purchase. Service Fees collected by Gaytherings and Payment Processor Fees collected by the Payment Processor are non-refundable and non-cancellable, except as otherwise required by applicable law or expressly provided in the Terms of Service or this Organizer Agreement.
All payments for Event tickets are processed through the Payment Processor. As merchant of record, Gaytherings receives funds from Attendees through its Payment Processor account and makes them available to you as payouts, less applicable fees, refunds, chargebacks, and other amounts you are responsible for under this Organizer Agreement. You are responsible for maintaining your Payment Processor account and ensuring that your account information is accurate and up to date in order to receive payouts.
You are solely responsible for reporting and remitting any taxes, duties, levies, or similar governmental assessments associated with your Events, ticket sales, or use of the Event Services, except to the extent the Payment Processor or Gaytherings is required by law to do so. You are responsible for providing and maintaining accurate tax information, taxpayer identification numbers, banking information, and any tax forms, certifications, or documentation required by the Payment Processor, Gaytherings, or applicable law in connection with payment processing, payouts, or tax reporting obligations.
acts as the merchant of record for ticket sales and other payments processed through the Event Services. Gaytherings is responsible for processing payments, refunds, chargebacks, and payment disputes in accordance with this Organizer Agreement, the applicable Organizer-Specific Terms, and applicable law. However, you remain responsible for delivering the Event as advertised, and Gaytherings may deduct from your payouts, or invoice you for, any refunds, chargebacks, or related fees resulting from your failure to deliver the Event, cancellation, or material misrepresentation of the Event.
Gaytherings may delay, withhold, or offset payments where necessary to investigate potential violations, comply with applicable law, or protect Users. You agree to use the Payment Processor exclusively for the sale of tickets or registrations for Events, and for goods and services sold at your Events, through the Services.
Promoted Events
Gaytherings may offer features that increase the visibility of your Events on the Services, including through paid or unpaid promotional placements (“Promoted Events”). If you choose to purchase any promotional features, you acknowledge that the promotion may affect the visibility of your Event, but it does not guarantee a minimum level of impressions, engagement, attendance, ticket sales, or any other results.
The placement, ranking, pacing, and display of Promoted Events are determined by Gaytherings in its discretion and may vary based on factors such as user preferences, location, relevance, platform performance, and other criteria. Promoted Events will be shown only where we determine they are relevant and may not be displayed to all Users, including Users who have chosen to block or otherwise restrict interactions with you.
Promoted Events may be offered on a per-impression basis, and details regarding pricing, duration, estimated impressions, budgets, or other promotional metrics will be provided at the time of purchase or activation. You acknowledge that the allocation, timing, pacing, and delivery of impressions are determined by Gaytherings in its reasonable discretion.
Except as otherwise expressly stated by Gaytherings, amounts attributable to impressions, placements, or promotional services already delivered are non-refundable. If Gaytherings is unable to deliver all purchased promotional impressions or promotional services during the applicable promotional period, Gaytherings may, in its discretion, issue a credit to your account for the undelivered portion of the promotion for use in future promotional campaigns or Services. Refunds to the original payment method are not guaranteed and may be issued only where required by applicable law or approved by Gaytherings in its discretion.
Gaytherings may modify, limit, or discontinue promotional features at any time. Unless otherwise expressly stated in writing, all fees paid for promotional features are non-refundable.
Prohibited Events
The Services may not be used to promote or facilitate illegal sexual services or any activity that would violate applicable laws, including, without limitation, laws related to prostitution, escorting, commercial sex acts, or human trafficking. Without limiting the foregoing, you may not create, post, or promote any Event or content that:
Illegal Sexual Services: Involves or facilitates illegal sexual services, including prostitution, escorting, or commercial sex acts;
Misleading or Deceptive Content: Is false, misleading, or deceptive as to the nature, description, or details of the Event;
Policy Violations: Violates this Organizer Agreement, the Terms of Service, the Event Guidelines, or any other applicable policies;
Legal Violations: Violates or encourages the violation of any applicable local, state, national, or international law, rule, or regulation;
Third-Party Rights: Infringes or violates the rights of any third party, including intellectual property, privacy, or publicity rights;
Fraud or Impersonation: Is fraudulent, deceptive, or involves impersonation or unauthorized use of another person’s identity or Event;
Safety Risks: Poses a risk to the safety, well-being, or rights of Users or the public; or
Improper Use of Services: Is inconsistent with the intended purpose of the Services or the Event Guidelines.
You may not use the Services or create, promote, or process any Event or transaction in violation of applicable sanctions, export controls, or trade restrictions administered by the United States or any other applicable governmental authority, including sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC). Gaytherings may restrict or terminate access to the Services, remove Events, or block transactions where necessary to comply with applicable sanctions laws, Payment Processor requirements, or other legal or regulatory obligations.
Event and Ticket Cancellation
You may cancel an Event by going to your Organizer Portal, selecting the applicable Event, and then “Cancel Event.” Once the cancellation is confirmed, all ticket holders will automatically be refunded the Event Price along with any Service Fees. Payment processing fees are non-refundable.
Gaytherings reserves the right to cancel any Event or Event tickets at any time if we determine, in our discretion, that the Event or ticket sales violate the Terms of Service, this Organizer Agreement, the Event Guidelines, or applicable law, or otherwise create risk or liability. If tickets are canceled due to your Event, your conduct, or your violation of any applicable terms or law, Gaytherings will issue refunds to affected Attendees, including the Event Price and any Service Fees. You are responsible for the Event Price associated with such refunds, and Gaytherings will be responsible for the Service Fees. Payment processing fees are non-refundable.
Gaytherings also reserves the right to cancel Event tickets due to technical errors, human error, or transactional malfunctions on the Services, including situations where tickets are oversold. In such cases, Gaytherings will issue refunds to the affected Attendees. You will be responsible for the Event Price associated with such refunds, and Gaytherings will be responsible for any Service Fees associated with the canceled transactions. Payment processing fees are non-refundable.
You acknowledge and agree that any amounts you are responsible for in connection with canceled tickets may be recovered by deducting them from amounts otherwise payable to you, your Payment Processor account, or reserve balances, or by invoicing you directly.
Refunds
You are responsible for establishing and communicating the refund and cancellation policy for your Events through your Organizer-Specific Terms, in compliance with applicable law. You may create your own refund policy or select from optional templates Gaytherings may provide. Any templates are provided solely for convenience and informational purposes, and you are solely responsible for reviewing, selecting, and complying with your refund policy.
You are responsible for managing and honoring refund requests for your Events in accordance with your Organizer-Specific Terms and applicable law. The Event Services provide functionality allowing you to review, approve, and initiate refunds through your Organizer Portal. Refunds you initiate through your Organizer Portal are executed by Gaytherings, as merchant of record, through the Payment Processor.
If a refund request is escalated to Gaytherings, or if you fail or refuse to issue a refund required under your Organizer-Specific Terms or applicable law, Gaytherings may review the matter and issue the refund in accordance with your Organizer-Specific Terms and applicable law, without your prior approval. Gaytherings may also issue refunds where necessary to comply with applicable law, resolve a dispute, protect Users, or reduce risk or liability.
You are responsible for the Event Price associated with any refund issued in connection with your Events. Gaytherings may recover such amounts by deducting them from amounts otherwise payable to you, your Payment Processor account, or reserve balances, or by invoicing you directly.
Service Fees and Payment Processor Fees are non-refundable except where required by applicable law. If you issue a full or partial refund to an Attendee, you are responsible for the refunded Event Price. Service Fees and Payment Processor Fees will not be refunded to the Attendee or credited to you, except in the case of Event cancellation, where Gaytherings will refund Service Fees to Attendees as described in the Event and Ticket Cancellation section.
Payment Disputes
Gaytherings manages chargebacks, payment disputes, and reversals relating to transactions processed through the Event Services. If a chargeback or payment dispute is initiated, Gaytherings will respond to and manage the dispute, and may contact you to request supporting documentation, evidence, or communications necessary to contest or resolve it. You agree to cooperate with Gaytherings and provide any requested information promptly, as dispute deadlines are set by the Payment Processor and payment networks. Gaytherings does not control the dispute process or guarantee any outcome. All chargeback and dispute determinations are made by the applicable Payment Processor, payment network, financial institution, or other third party.
You acknowledge that fees, penalties, or assessments may apply in connection with chargebacks or payment disputes, including fees imposed by the Payment Processor or payment networks. Where a chargeback, dispute, or related fee results from your failure to deliver the Event as advertised, cancellation of the Event, material misrepresentation of the Event, or your failure to timely cooperate with a dispute response, you agree that such amounts are your responsibility and may be deducted from amounts otherwise payable to you, your Payment Processor account, reserve balances, or invoiced to you directly.
Prohibited Transactions
You may not create, promote, or process any Event or transaction through the Services that:
Is prohibited, restricted, or classified as high-risk under the Payment Processor’s terms, policies, or applicable rules;
Is fraudulent, deceptive, or criminal in nature;
Constitutes a restricted transaction under applicable law, including the Unlawful Gambling Enforcement Act of 2006 or Regulation GG;
Relates to an Event that violates this Organizer Agreement, Terms of Service, Event Guidelines, or applicable law;
Is unrelated to a legitimate Event offered through the Services;
Otherwise violates any terms, policies, or requirements of the Payment Processor; or
Otherwise exposes Gaytherings to financial, regulatory, or reputational risk.
You are responsible for ensuring that your Events and related transactions comply with all applicable Payment Processor requirements and applicable laws. Gaytherings may suspend or terminate your access to the Event Services, restrict or withhold payments, or take other action if your transactions are flagged as high-risk, non-compliant, or otherwise problematic. Gaytherings is not responsible for any actions taken by the Payment Processor in connection with your account or transactions, including any holds, restrictions, delays, or termination of your Payment Processor account.
Non-Circumvention
You acknowledge that Gaytherings has invested substantial resources in developing the Event Services, attracting Users, facilitating Events, and providing tools for Event discovery, promotion, invitations, applications, ticketing, communications, and transactions. you agree that you will not, directly or indirectly:
use the Event Services or information obtained through the Event Services to avoid, bypass, or circumvent the Event Services or any applicable Fees;
solicit, redirect, or encourage Users identified through the Event Services to complete transactions, ticket purchases, payments, memberships, invitations, registrations, or related interactions outside of the Event Services for the purpose of avoiding Fees or platform functionality;
use Attendee Data or Membership Information obtained through the Event Services to migrate Users to competing platforms or services in violation of this Organizer Agreement; or
interfere with or circumvent any payment, invitation, access-control, ticketing, analytics, or communication functionality made available through the Event Services.
This section does not prohibit you from independently marketing or promoting its Events outside of the Event Services, provided that you do not use the Event Services or information obtained through the Event Services in violation of this Organizer Agreement. We reserve all rights and remedies available at law or in equity relating to any violation of this section.
Event Representations
In addition to the representations and warranties provided in this Organizer Agreement or our Terms of Service, you represent and warrant, with respect to each Event that you create, promote, host, or facilitate through the Services, that:
The Event complies with all applicable laws, regulations, ordinances, and requirements in each jurisdiction where the Event is conducted, promoted, advertised, or made available;
You have obtained and will maintain all licenses, permits, approvals, registrations, consents, and authorizations necessary to host, promote, conduct, and operate the Event, including, without limitation, any permits or approvals relating to alcohol service, food service, occupancy, entertainment, public assembly, zoning, fire safety, health and safety, security, age-restricted activities, or venue operations;
The Event and all Event-related activities comply with all applicable laws and regulations relating to alcohol sales or consumption, controlled substances, age verification, accessibility, discrimination, public accommodations, employment, privacy, consumer protection, health and safety, and emergency response requirements;
All Event-related content, including descriptions, media, and promotional materials, is lawful, accurate, non-misleading, and complies with applicable laws and the Event Guidelines;
You maintain all insurance coverage reasonably appropriate for the nature of the Event and any applicable legal requirements;
The Event does not involve or promote any unlawful activity, including, without limitation, illegal sexual services, human trafficking, or any activity that would violate applicable laws or regulations; and
The Event complies with all applicable age restrictions, and you will implement and maintain appropriate procedures to verify attendee eligibility and prevent attendance by individuals who do not meet any required minimum age or eligibility requirements.
Further, you are responsible for the planning, management, supervision, staffing, and operation of the Event, including ensuring the safety of attendees and compliance with all applicable health, safety, and venue requirements. You are responsible for determining whether the Event is lawful in the applicable jurisdiction and for complying with all local laws, rules, and regulations. You acknowledge and agree that Gaytherings does not verify or determine the legality of any Event and relies on your representations under this section.
Promotional Services
The Event Services may allow you to access contact information for Attendees who have purchased tickets to your Events or who have subscribed to you, and to communicate with such Users in accordance with this Organizer Agreement, the Terms of Service, the Event Guidelines, and the Privacy Policy. The Event Services may also provide tools to send Event-related communications, including updates regarding your Events (such as scheduling changes or cancellations). Gaytherings may, but is not obligated to, send such communications to Attendees on your behalf.
You may use the Event Services to send promotional communications (“Promotional Emails”) to Users who have purchased Event tickets, subscribed to you, or otherwise provided their contact information through the Services. Promotional Emails may be subject to limitations imposed by Gaytherings, including restrictions on frequency, recipients, or volume, and may be subject to additional fees, subscription requirements, or other commercial terms.
You are responsible for all Promotional Emails and other communications you send, including their content, timing, and recipients. You must ensure that all communications comply with applicable laws, including the CAN-SPAM Act and other applicable marketing, privacy, and communications laws. You may use Attendee contact information solely for purposes related to your Events and may not sell, transfer, or otherwise use such information for unrelated purposes.
Without limiting the foregoing, you may not use the Event Services to send or facilitate the transmission of spam, unsolicited communications, or messages sent using improperly obtained contact information (including through scraping or harvesting). You must honor all opt-out, unsubscribe, and similar requests, regardless of how the communication was sent.
Organizer Portal Transfers
You may request the removal, modification, or transfer of an Organizer Portal or Event listing associated with you or your organization by contacting us at support@gaytherings.com and providing sufficient information to verify your identity and authority over the applicable account or Event.
Gaytherings may, in its discretion, approve, deny, or delay any such request and may require additional information or documentation to verify your identity or authority before taking action. Gaytherings is not responsible for independently verifying the authenticity of any request and may rely on the information provided. If Gaytherings reasonably believes that a request is fraudulent, unauthorized, or disputed, we may deny the request or take no action until the matter is resolved.
Gaytherings may, in its discretion, transfer control of an Event listing to a different Organizer Portal where appropriate. Gaytherings is not responsible for resolving disputes between parties claiming ownership or control of an Event listing. Any such transfer does not constitute a representation or warranty regarding your identity, authority, or rights in connection with the Event. Gaytherings is not liable for any removal, modification, suspension, or transfer of an Organizer Portal or Event listing, including any resulting loss of data, visibility, or revenue, and is not obligated to restore any listing once it has been removed or modified.
Suspension and Termination
Gaytherings may suspend or terminate your Organizer Portal, or restrict your access to the Event Services, at any time and for any reason, including if we determine, in our discretion, that your use of the Event Services violates this Organizer Agreement, the Terms of Service, the Event Guidelines, or applicable law, or may expose Gaytherings or Users to risk, harm, or liability. Our right to suspend or terminate your Organizer Portal does not limit any other rights or remedies we may have under this Organizer Agreement or at law.
Upon suspension or termination, your right to access and use the Event Services, including the ability to create or manage Events, will immediately cease. Gaytherings may cancel or disable any Events associated with your Organizer Portal and take any actions it deems appropriate with respect to affected Attendees, including issuing refunds. Gaytherings may also withhold, delay, or offset any payments in connection with a suspension or termination.
Suspension or termination may result in the deletion or loss of your data, including your Organizer profile, Event Information, contact lists, and historical Event data. Gaytherings has no obligation to retain or provide access to such data following suspension or termination.
You remain solely responsible for all obligations arising from your Events, including any obligations owed to Attendees, and such obligations will survive termination of this Organizer Agreement. Gaytherings is not liable to you for any suspension, termination, or related actions taken in accordance with this Organizer Agreement.
You may terminate your Organizer Portal at any time, provided that you do not have any active or pending Events.
Attendee Data and Privacy
“Attendee Data” means information relating to Attendees, applicants, invitees, or other Users that is made available to you through the Event Services, including contact information, transactional information, Membership Information, application submissions, invitation or approval status, and communications between you and Users through the Services.
You may access and use Attendee Data solely for purposes related to your Events and use of the Event Services, and according to this Organizer Agreement, our Terms of Service, Event Guidelines, Privacy Policy, and, if applicable, our Data Processing Agreement.
You are solely responsible for your use of Attendee Data and for complying with all applicable privacy, data protection, anti-discrimination, consumer protection, and marketing laws. Without limiting the foregoing, you may not:
Sell, rent, license, transfer, disclose, or otherwise commercially exploit Attendee Data;
Use Attendee Data for purposes unrelated to your Events listed on the Services;
Use Attendee Data to build, supplement, or enrich marketing databases, customer lists, or profiles unrelated to the Services or your Events on the Services;
Scrape, harvest, bulk download, export, or otherwise extract Attendee Data except as expressly permitted through the Services; or
Use Attendee Data in any manner that violates applicable law or the rights of any individual.
You are responsible for any claims, damages, losses, liabilities, or expenses arising out of or related to your use of Attendee Data. You must implement appropriate administrative, technical, and organizational safeguards to protect Attendee Data and comply with any applicable cross-border data transfer requirements. Gaytherings is not responsible for your use, misuse, retention, disclosure, transfer, or deletion of Attendee Data.
Gaytherings may, in its discretion, limit, restrict, suspend, or revoke your access to Attendee Data at any time to protect Users, comply with applicable law, enforce these Terms, or reduce risk or liability. You acknowledge that Attendee Data may be modified, restricted, anonymized, or deleted by Gaytherings according to our Terms of Service, the Privacy Policy, applicable law, or in response to requests from Users.
You further acknowledge that Gaytherings may retain Attendee Data independently collected or maintained by Gaytherings for purposes permitted under our Terms of Service or Privacy Policy, including for security, fraud prevention, compliance, transaction records, and operation of the Services.
Data Processing Agreement
To the extent that Gaytherings processes Personal Information on your behalf in a manner subject to applicable Data Protection Laws (defined in our DPA), the parties agree that our Data Processing Agreement (DPA) will apply and is incorporated into this Organizer Agreement by reference.
You acknowledge and agree that the DPA applies only to the extent required by applicable Data Protection Laws and only with respect to processing activities subject to such laws. In the event of a conflict between the DPA and this Organizer Agreement, the DPA shall control solely with respect to such processing activities. Gaytherings may update the DPA from time to time as necessary to comply with applicable laws, regulations, or industry requirements.
Organizer Content
The Event Services allow you to upload, submit, or otherwise provide content in connection with your Events, including, without limitation, Event descriptions, images, videos, graphics, logos, designs, promotional materials, and other related content (collectively, “Organizer Content”).
You are solely responsible for all Organizer Content. You represent and warrant that: (i) you own or have obtained all rights, licenses, consents, and permissions necessary to use and submit the Organizer Content and to grant the rights set forth in this Organizer Agreement; (ii) the Organizer Content does not infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, or other rights of any third party; and (iii) your use of the Organizer Content complies with all applicable laws, the Terms of Service (including the User-Generated Content and Prohibited Content provisions), and the Event Guidelines.
Without limiting the foregoing, you acknowledge that certain images, videos, music, or other media may be subject to third-party license terms (including stock media licenses), and that such licenses may restrict how such content can be used, displayed, or distributed. You are solely responsible for ensuring that any such content is properly licensed for use on the Services, including public display and commercial use where applicable. Gaytherings is not responsible for verifying the scope or validity of any such licenses.
You grant Gaytherings a non-exclusive, worldwide, royalty-free, fully paid, sublicensable license to host, use, reproduce, modify, display, perform, distribute, and otherwise exploit the Organizer Content as necessary to operate, provide, and improve the Services.
You are responsible for any claims arising from your Organizer Content. If Gaytherings receives a complaint, claim, or notice alleging that Organizer Content violates applicable law or the rights of a third party, you agree that Gaytherings may provide your contact information to the complaining party or applicable authority to facilitate resolution of the issue.
Gaytherings may remove, restrict, or disable access to any Organizer Content at any time if we believe, in our discretion, that such content may violate this Organizer Agreement, the Terms of Service, the Event Guidelines, applicable law, or the rights of any third party.
Liability Waivers
The Event Services may allow you to require Attendees to review and agree to waivers, releases, assumptions of risk, participation agreements, codes of conduct, or similar terms in connection with an Event (“Event Waivers”). You are solely responsible for preparing, reviewing, approving, maintaining, and enforcing all Event Waivers and for ensuring that all Event Waivers comply with applicable laws and are appropriate for the applicable Event.
Gaytherings may provide sample templates, example language, or technical functionality to facilitate the presentation or acknowledgment of Event Waivers. Any such templates or example language are provided solely for convenience and informational purposes and do not constitute legal advice. You acknowledge and agree that you use any template or example language at your own risk and that Gaytherings does not guarantee the legality, enforceability, sufficiency, or effectiveness of any Event Waiver.
Use of Marks
You grant Gaytherings a limited, non-exclusive, worldwide, royalty-free license to use your name, trademarks, service marks, and logos that you provide to us (“Organizer Marks”) to identify you as an Organizer and to market and promote the Services. This license includes the right to use, reproduce, display, and distribute your Organizer Marks in any media or format now known or later developed, including, without limitation, on the Services, in marketing materials, email communications, advertisements, and on social media platforms, and in promotional content such as customer case studies. Gaytherings will use your Organizer Marks in accordance with any reasonable trademark usage guidelines you provide to us in writing. You may request that we cease use of your Organizer Marks by providing written notice, and Gaytherings will use reasonable efforts to comply within a reasonable period of time, except that we may continue to use Organizer Marks in materials already created or in circulation.
