Referral Program Terms

These Referral Program Terms and Conditions ("Referral Terms") govern the Gaytherings organizer referral program (the "Program") operated by Gatherings LLC dba Gaytherings ("Gaytherings," "we," "us," or "our"). The Program allows eligible Organizers to earn advertising credit by inviting other event organizers to sell on Gaytherings. By sharing a referral link, entering a referrer's email, or otherwise participating in the Program, you agree to these Referral Terms, our Terms of Service, and our Organizer Agreement. Capitalized terms not defined here have the meanings given in the Terms of Service.

1. Who Can Participate

To participate as a referrer, you must have an active Organizer account in good standing. To participate as a referred organizer, you must be new to Gaytherings — meaning you have not previously created an Organizer account, published an Event, or sold tickets on the Services, and you are not operating on behalf of an organization that has done so.

Participation is limited to individuals and organizations legally able to enter into these Referral Terms. Employees, contractors, and agents of Gaytherings are not eligible to participate as referrers.

2. How Referrals Work

Each eligible Organizer receives a personal referral link. A referral is attributed to you when a new organizer either:

• signs up using your referral link; or

• enters your account email address in the "Invited by" field during signup.

Attribution is determined at the time the referred organizer creates their account and cannot be added, changed, or transferred afterwards. If more than one referrer could apply — for example, a signup through one person's link naming a different person in the "Invited by" field — the referral link takes precedence. Each referred organizer can be attributed to only one referrer.

3. What Qualifies

A referral becomes a "Qualified Referral" when all of the following are met:

• the referred organizer is new to Gaytherings, as described in Section 1;

• the referred organizer publishes a paid ticketed Event on the Services and the Event takes place;

• the Event processes genuine paid ticket sales through the Services; and

• the Event is not canceled and is not fully refunded.

Free Events, Events with no paid ticket sales, canceled Events, and Events whose sales are fully refunded do not qualify. Only the referred organizer's qualifying activity counts — tickets sold by other organizers, or sales made outside the Services, are not counted.

4. The Reward

When a Qualified Referral is completed, we issue $250 in advertising credit to the referrer's account and $250 in advertising credit to the referred organizer's account.

Advertising credit:

• can be used only toward Gaytherings advertising and promotional tools, as available in your organizer dashboard;

• has no cash value, is not redeemable for cash, and cannot be applied to Service Fees, Payment Processing Fees, payouts, or refunds;

• is non-transferable between accounts;

• does not expire, although credit is forfeited if your account is terminated for a violation of our Terms of Service; and

• is issued once per Qualified Referral — one reward per referred organizer, regardless of how many Events they later run.

There is no limit on the number of organizers you may refer unless we notify you otherwise. Rewards are issued within a reasonable period after the qualifying Event is completed and its sales are settled.

5. Fair Play

The Program is intended to grow the Gaytherings organizer community in good faith. The following are not permitted:

• self-referrals, including referring accounts you own, operate, or control, or accounts created for the same organization;

• creating fake, duplicate, or inactive organizer accounts to generate referrals;

• generating ticket sales through fraudulent, simulated, or self-purchased transactions in order to qualify;

• misleading, spammy, or deceptive promotion of your referral link, including bulk unsolicited messaging or presenting your link as an official Gaytherings communication; and

• any other activity that we reasonably determine abuses or games the Program.

We may review accounts and referral activity for abuse. If we determine that a referral or reward resulted from a violation of these Referral Terms, we may withhold or revoke the reward, reverse issued credit, and suspend or terminate the participating accounts under our Terms of Service.

6. Changes to the Program

We may modify, suspend, or end the Program at any time. If we end the Program, referrals that have already become Qualified Referrals will still receive their rewards, and advertising credit already issued will remain usable until it expires. Referrals that have not yet qualified when the Program ends will not be eligible for rewards unless we state otherwise.

7. General

Rewards are promotional credits, not payment for services. You are responsible for any tax obligations that may arise from rewards you receive. These Referral Terms are governed by the same governing law and dispute resolution provisions as our Terms of Service. If any provision of these Referral Terms is found unenforceable, the remainder remains in effect.
